    This Affiliate Marketing Program Participation Policy (this policy) forms part of the The Christian Diet Affiliate Marketing Program Agreement (the agreement), whose terms and conditions you electronically accepted when you clicked on the “Accept” button at the registration page of the The Christian Diet Affiliate Marketing Program (the Program). Capitalized terms not defined herein have the meanings given to them in the agreement. We designed the Program for Affiliates to promote The Christian Diet’s products listed in the Eligible Product List (the Products) through their legitimate channels of influence. This policy is meant to support the fair operation of the Program in support of the Program objective. If you promote the Products using methods we believe, in our sole discretion, breaches the letter or spirit of the Program, we reserve the right to permanently withhold any and all fees otherwise payable to you under the terms of the agreement.

    1. You Must Be of Legal Age

    Only adults capable of forming a contract are allowed to participate in the Program. If you are a minor or do not have the capacity to form a contract, you must obtain your parent’s or legal guardian’s consent to join as an Affiliate. The Program is not open to anyone below the age of 16, whether or not your parent or legal guardian consents to your participation in the Program.

    2. Only Products Specified on the Eligible Product List Are Included

    The Program is designed to promote only specified products listed on the Eligible Product List (Products).

    3. Compliant Use of The Christian Diet Trademarks and Copyright

    You must follow the Guidelines for Using The Christian Diet Trademarks and Copyright when using the Affiliate Link and any content that we provided to you (Content). Your platforms must also comply with the  You may use the Content solely for the positive promotion of the Products through legal and valid channels of influence.  You shall not use any of the Content, or any other logo, trade names, trademarks, service marks, trade dress, get ups, images, creatives or any other content or materials owned or licensed to  The Christian Diet or any of its affiliates or licensors or a variant, misspelling, takeoff, abbreviation, phonetic or foreign language equivalent of any of the foregoing (collectively, the Controlled Marks) to create The Christian Diet look-alike site that suggests or gives the visitor the impression that your website, publication, channel or account (collectively, your platform) is affiliated with The Christian Diet.  Your platform shall not in any way copy or resemble the look and feel of any The Christian Diet Sites or content, and you shall not create the impression that your platform is part of The Christian Diet’s network of sites. You shall not “frame” or permit the “framing” of any page of The Christian Diet’s network of sites. We may lock your Program Account immediately and withhold payment of any and all commissions without further notice if you fail to remove any Controlled Mark from your platforms upon request.

    4. Creatives

    If you need to create or develop any works that incorporate any of the Content, you must comply with the Guidelines for Using The Christian Diet Trademarks and Copyright. If your creative requirements are not met by what we have made available to you, please contact us to discuss your individual needs. 

    5. No Harmful Activities or Content

    You shall not engage in any activity, and your platform shall not include content, in each case, that has the potential to harm our customers, employees, operations or reputation. The Christian Diet has the sole discretion to decide if your activities or content violates this Program Policy.  The following are examples of activities and content that breach the terms of this Program. This list is not exhaustive and The Christian Diet reserves the right to modify or add to this list.

    ● Target consumers or visitors who are below the age of 18.

    ● Hosting, posting, advocating or promoting pornographic or obscene content, tasteless images, excess violence or hate, discrimination, illegal content or any criminal activity.

    ● Posting false, inaccurate, defamatory, slanderous, libelous or misleading content or statements about The Christian Diet and/or its products or services.

    ● Linking to, or encouraging visitors to visit, sites that contain any of the aforementioned content.

    ● Sending unsolicited commercial mail or indiscriminate advertising, including without limitation, failing to comply with the laws and regulations governing the sending of commercial mail.

    ● Collecting personal information in breach of the data protection or privacy laws of any jurisdiction that apply to you or your platforms;

    ● Altering the Affiliate Link to allow you to: (a) collect personal data or information of visitors that would allow you to personally identify the individual visitors; or (b) obscure the site from which the visitor is referred, including the use of link cloaking, asp/php redirects and/or links shortening services not provided by The Christian Diet;

    ● Intercepting, diverting or redirecting internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website, including, without limitation, the use of toolbars, browser plug-ins, extensions and add-ons or attempting to do any of the foregoing;

    ● Cause any purchases to be made that are not in good faith (such as using any device, program, robot iframes or hidden frames, cookie stuffing techniques that set the tracking cookie without the user actually clicking on the referral link, etc.).

    ● Infringing any person’s intellectual property rights, including without limitation, The Christian Diet’s intellectual property rights.  

    6. You Must Use Legitimate Means to Drive Traffic

    We expect you to promote the Products through your channels of existing channels of influence and not through the use of click exchanges, banner exchanges or paid search advertising. If you use paid search for your products or services, you must add as negative keywords any variations or misspellings associated with The Christian Diet’s brand, including, but not limited to: The Chrisitan Diet, Chiristan Diet, The Christan Diet, etc. across all of your paid search activities. You also acknowledge and agree that you shall not:

    ● Bid on terms in any search engine that mention The Chrisitan Diet, Chiristan Diet, The Christan Diet, etc. or any of their derivatives or misspellings, including, without limitation, any of the foregoing with keywords such as but not limited to The Christian Diet coupons, The Christian Diet promos, The Christian Diet promotions;

    ● Use direct linking to The Christian Diet Sites from any paid advertising;

    ● Engage in any form of retargeting or remarketing to The Christian Diet’s customers to encourage them to visit your platforms;

    ● Use The Christian as a display URL; or

    ● Use The Christian Diet, The Christian Dietchairs, The Christian or any of their derivatives in ad copy that is shown on a search engine, including uses of dynamic keyword insertion.

    7. No Coupon or Discount Sites

    You shall not offer any form of consideration or incentive for using the Affiliate Link or to entice your visitors to use the Affiliate Link. In particular, you use websites or mobile apps that offer deals, coupons, promo codes, discounts, loyalty points, donations to charity organizations or other forms of incentives (Incentive Sites) to entice visitors to the platforms where you have placed the Affiliate Link. If you attempt to drive traffic using Incentive Sites, we reserve the right to withhold your commissions, suspend your participation in the Program or terminate the agreement immediately upon written notice to you.

    8. No Domain Forwarding or DNS Redirections

    You shall not create domain forwarding directly to The Christian Diet Sites using your Affiliate Link. You shall not replace DNS errors caused by mistyping the domain name The Christian with a page showing the Affiliate Link to any The Christian Diet Site.

    9. Maintain Active Status

    You should actively promote the Products through your platforms if you desire to receive commissions for valid purchases. If you have been inactive for at least six months, we have the right to deem your inactivity as your instructions to withdraw from the Program. In such an event, we will send you an e-mail to the e-mail address that is in your Program Account and our notice of your withdrawal from the Program shall be effective immediately.  We have the right to terminate your access to the Program Account within 7 days of sending you the withdrawal notice. You must also remove all of our Content from your platforms within this 7-day period. Should you fail to do so, the continued use of our Content on any of your platforms may constitute trademark and/or copyright infringement and unfair competition, and we reserve all rights to enforce our rights against you.

    This Affiliate Program Agreement contains the terms and conditions that govern the relationship between The Christian Diet LLC (The Christian Diet, we, us or our) and each person or entity (you or Affiliate) that enrolls in The Christian Diet’s affiliate marketing program (the Program).  Clicking on the “Apply” button on the registration form constitutes your electronic acceptance of all of the terms and conditions of this agreement, including the following Program Policies that are incorporated by reference into this agreement:

    Please read this agreement carefully before you enroll in the Program. By registering for the Program, you declare that you have read and understood this agreement, and you agree to be bound by this agreement.

    1. How the Program Works

    The Affiliate Program is a referral program that allows you to earn commissions on sales of The Christian Diet’s products that are listed in the Eligible Product List (the Products) when you advertise these Products on your website, publishing location (e.g., blog or electronic newsletter), forums, bulletins or social media posts (collectively, your platforms) through the placement on your platforms of an Affiliate Link (see Section 2, Registration in the Program). This advertising allows you to drive traffic to the The Christian Diet online stores hosted on domains that are owned by us (the The Christian Diet Sites).

    Subject to your compliance with the terms and conditions of this agreement, when our customers purchase a Product offered at the The Christian Diet Sites after being referred there through the Affiliate Link on your platforms, you will earn a commission for those purchases.

    From the time that a visitor is first referred to a The Christian Diet Site from your Affiliate Link contained on your platform, that visitor will have 7 days to complete a Product purchase for you to receive your commission. Should the visitor: (a) click on another referral link that is not controlled by you or (b) clear her or his browser data and cookies, your Affiliate Link will be overwritten and you will not receive a commission for that visitor’s purchase.

    2. Registration in the Program

    You may apply to enter the Program by submitting a complete and accurate Program registration form on the registration page. We will evaluate your application and notify you via the e-mail address you provided to us in your registration form if you are successful (Registration Notification). Our acceptance or rejection of your application is at our sole discretion.

    Upon acceptance into the Program, we will create a user account for you that you may use to track the commissions that you have earned in real time (Program Account). You will also find a URL link that contains tracking parameters that are linked to your Program Account (Affiliate Link) when you log into your Program Account. Your Registration Notification will contain the instructions for you to activate your account and retrieve your Affiliate Link. You must keep your profile information in your Program Account complete, accurate and up-to-date. We will send all communications with you, including any notices, approvals and changes to the terms and conditions of the Program, to the e-mail address that is associated with your Program Account. You shall be deemed to have received all written correspondence that we send to that e-mail address, even if it is no longer current.

    In the event that you are deemed to have withdrawn your participation in the Program due to your inactivity, you will receive your withdrawal notice via the aforementioned e-mail address. You will have 30 days from the date of the withdrawal notice to download any information from your Program Account, following which you will lose access to your Program Account and your Program Account will be deleted in accordance with our records retention policy. 

    3. Commissions

    Except as otherwise provided in any Marketing Affiliate Addendum that you have entered with us in addition to this agreement, we will pay you graduated commission rates based on the volume of sales that you generate, with the highest commission rate being 12%. The actual commission rates and the number of sales you have to generate per month to move up to the next tier of higher commission rates are specified in your Program Account. THE COMMISSION RATES THAT WE OFFER TO PAY YOU UNDER THE PROGRAM CONSTITUTE The Christian Diet’S CONFIDENTIAL AND PROPRIETARY INFORMATION.

    Commission rates are applied against the price of the Products actually invoiced to our customers, after deducting goods and services tax (GST), sales tax, sales and services tax (SST), value added tax (VAT), levies or other taxes typically assessed on the sale of goods (the Transaction Taxes) and shipping or fulfillment expenses (whether such expenses were borne by our customers or by us) calculated according to methodology for allocating Transaction Taxes and expenses to Product sales.


    You will earn a commission only when a Product is shipped out. We reserve the right to reverse commissions due to fraud, unauthorized purchases, chargebacks, refunded payments and erroneous crediting and to adjust or offset any excess payments made to you against subsequent payments due to you under this agreement or any other agreements you have with us, or to require you to pay such excess back to us promptly in immediately available funds.

    We pay out commissions to your PayPal or bank account on a monthly basis within 14 days of the end of each calendar month. For transfers to bank accounts, we will pay out commissions only if you have accumulated at least USD100.00 of unpaid commissions as reported in your Program Account. Commissions are paid in United States Dollars only and any currency conversion charges shall be borne by you. We shall bear the bank transfer fees for payments to you. It is your responsibility to ensure your PayPal and bank account details are accurate and up-to-date in order to receive payment.

    It is your sole responsibility to use the correctly formatted and tagged Affiliate Link in the promo materials you use on your platform and you agree not to hold The Christian Diet liable for any lost revenue or commissions resulting from any error made by you. 

    4. Accuracy of Dashboard Data

    You acknowledge and understand that due to several manual adjustments that we may need to undertake to provide for exchange rate conversion, as well as to audit the overall compliance with the terms of the Program by you and other Program participants, the electronic dashboard information that is made available to you through the Program Account is not considered to be final or accurate. We reserve the right to make corrections to any information made available to you via the Program Account, and to adjust the amounts of any commissions payable to you under the Program through deductions and offsets, as applicable. 

    5. Invoicing and Taxes

    The commissions that we pay you shall be inclusive of all Transaction Taxes that you may be required to collect and remit to the relevant tax authority in connection with the services that you have rendered to us under this agreement. If you are an entity that is capable of raising a valid tax invoice under the applicable laws and regulations, you shall (a) within 14 days of the end of every calendar month issue us a valid tax invoice for the commissions you have earned for that month as reflected in your Program Account; and (b) report your Transaction Tax returns within the prescribed time limit to the relevant tax authority so that we can take any input tax credit for the taxes that we have paid to you.

    We may withhold or deduct any taxes that we may be legally obligated to withhold or deduct from any amounts payable to you under the Program. From time to time, we may request tax information from you. If we request tax information from you and you do not provide it to us, we reserve the right (in addition to any other rights or remedies available to us), to hold your commissions until you provide this information or otherwise satisfy us that you are not a person from whom we are required to obtain tax information. You are responsible for any taxes owed on any commissions that you received under the Program. If you fail to comply with your tax reporting obligations, you shall forfeit your commissions. 

    6. Program Participation Requirements

    You must comply with the spirit and the letter of this Program as described in this agreement and our Program Policies, including without limitation, the Affiliate Marketing Program Participation Policy. You shall promptly provide us with the information that we request to verify your compliance with the terms of the Program. If you violate this agreement or the terms and conditions of any other agreement that you have with us, then, in addition to any rights and remedies that are available to us, we reserve the right to do any one or a combination of the following without advance notice to you:

    a. suspend your participation in this Program;

    b. withhold commission payments during your suspension period, whether such commissions were earned before or during your suspension period;

    c. require the forfeiture of any commissions that have accrued to you during the period that you were in violation of this agreement, whether or not such commissions have been paid to you and even when the commissions were for sales that did not breach the terms of this agreement; and/or

    d. deactivate your Program Account.

    Your liability for your breach of this agreement is not limited to the forfeiture of your commissions, and we reserve the right to recover the full extent of damages that you have caused to us as a result of your breach of this agreement. 

    7. Identifying Yourself as an Affiliate and an Independent Contractor

    You may promote the Products in any manner you choose as long as you do not violate the Program Policies.

    However, to ensure that you comply with the various legal requirements on disclosing your affiliate relationship with us, on your platforms and in your communications to the public, you must clearly inform the visitors to your platform that you earn commissions from The Christian Diet as our Affiliate (Affiliate Relationship). You may disclose this information by displaying on your platform the following statement or a substantially similar statement: “As a The Christian Diet Affiliate, I earn from qualifying purchases.” If you are live-streaming or producing a video, you must also make sure that you make the Affiliate Relationship known to your viewers for the duration of the segment in which you promote the Products. Except for this disclosure, you shall not make any public communication concerning this agreement or your participation in the Program without our advance written. You shall not misrepresent or embellish our relationship with you.

    You are an independent contractor, and are not our agent, representative, employee, partner, franchisee or joint venturer. Therefore, you have no right to represent us or to take on obligations or waive rights on our behalf at any time. Except to the extent we have entered into a sponsorship or endorsement agreement with you, you shall not engage in any act or omission that would cause a reasonable person to believe that we support, sponsor or endorse you or your products or are otherwise affiliated with you or any other person or entity that is beyond the scope of the Program.

    Our customers are not, by virtue of your participation in the Program, your customers, and you may not handle any matter concerning the purchase and sale of our Products by any of our customers. All pricing, terms of sale, rules, policies and operating procedures concerning customer orders, customer service and product sales on the The Christian Diet Sites shall apply to all Product purchases. Should any of our customers contact you for a matter relating to a The Christian Diet Site or a The Christian Diet product, you shall inform such customers to contact The Christian Diet’s customer service. 

    8. Confidential Information

    You must keep The Christian Diet’s confidential and proprietary information in strict confidence and not disclose to any third party or use that information for any purpose other than to confirm the commissions you have the right to receive under the terms and conditions of the Program. In the event that you are compelled by law to disclose any of The Christian Diet’s confidential or proprietary information, you must inform us by writing to compliance [at] The Christian before you make any disclosure. You admit that your breach of this paragraph will cause The Christian Diet irreparable harm and The Christian Diet shall be entitled to any remedy available to it to enforce its rights under this Program, including, but not limited to, interim or interlocutory injunctions without the need to provide any undertaking to compensate you for any restraints imposed on you resulting from the granting of such injunctions. 

    9. Changes to the Terms

    We have the sole right and absolute discretion to change or modify the terms of this agreement and any policies or documents that are incorporated by reference herein at any time. Such changes and modifications shall be effective immediately upon posting to the The Christian Diet Affiliate Marketing Program web pages (the Program Sites). You acknowledge and agree that (a) The Christian Diet may or may not notify you of such changes or modifications prior to posting them to the Program Sites; and (b) your continued participation in the Program (via any platform) after such changes or modifications have been made (as indicated by the "Last Revised" date on this page) shall constitute your acceptance of this agreement as last revised. If you do not agree to be bound by this agreement as last revised, you must formally terminate your Affiliate status. In addition, while not required, The Christian Diet may occasionally notify you of changes or modifications to this agreement by e-mail.

    10. Warranties

    You represent, warrant and covenant that: (a) neither your participation in the Program, nor your creation, maintenance or operation of your platforms shall violate any laws, regulations, ordinances, rules, orders, licenses, permits, guidelines, codes of practice, industry standards, self-regulatory rules, judgments, decisions or other requirements of any governmental authority (including all such rules governing communications, data protection, advertising and marketing); (b) if you submitted your application to participate in the Program on behalf of an entity, that you are authorized to act on behalf of such entity, and that the entity you represent agrees to be bound by the terms of this agreement; (c) you have the legal capacity to enter into this agreement; (d) you have independently evaluated the terms of this agreement and are not relying on any representation, guarantee or statement other than those expressly set forth in this agreement in deciding to be bound by these terms; (e) you are not subject to any sanctions imposed by any government; (f) you shall comply with all U.S. export and re-export restrictions and applicable non-U.S. export and re-export restrictions consistent with U.S. law, that may apply to goods, software, technology and services; (g) you shall not use or abuse your Program Account or the technology platform on which it operates for anything other than to monitor the commissions you have earned under the Program and to access the Affiliate Link assigned to you; (h) you shall not share your passwords or other log-in information with any third party and shall take reasonable steps to prevent unauthorized access to your Program Account, notify us immediately of any known or suspected unauthorized access to your Program Account and use your best efforts to stop such breach; (i) you shall be responsible for your Program Account and your use of the system on which it is operated, including any damages and losses that we may suffer as a result of any unauthorized access to your Program Account; and (j) during the term of this agreement and for 12 months thereafter, you shall not incite or solicit negative reviews or comments, portray in a bad light or negative manner, or otherwise disparage The Christian Diet or any of its affiliated companies, or any of their respective products or services, employees, directors, officers or shareholders. 

    11. License Grant and Feedback

    Subject to the terms and conditions of this agreement, once we accept you into the Program, we grant you, for the term of this agreement, a limited, revocable, non-transferable, non-sublicensable and non-exclusive license to (a) copy and display the Affiliate Link (including any image assets associated with them that we provide to you) (the Provided Content) solely on your platforms that we have approved; and (b) use the name “The Christian Diet” and any trade marks that we make available to you via your Program Account or otherwise (the The Christian Diet Marks and, together with the Provided Content, the The Christian Diet IP), solely in connection with your positive promotion of the Products. Your use of the The Christian Diet IP shall comply with the Guidelines for Using The Christian Diet Trademarks and Copyright at all times.

    To the extent that you provide any suggestion or idea for improving or otherwise modifying any Product, this Program or any other The Christian Diet products or services (Feedback), you irrevocably grant The Christian Diet the right to use, profit from, disclose, publish or otherwise exploit such Feedback without compensation or the need to credit you in any manner whatsoever in perpetuity and you irrevocably grant The Christian Diet and its affiliates and licensors perpetual immunity from any infringement or misappropriation claims, actions and suits based on any act which, if not licensed hereunder, would infringe, contributorily infringe or induce the infringement of the Feedback.

    By using the Program Account, you also agree to the terms of use established by Refersion Inc., the provider of the information system that we use to manage our Program.

    Except to the extent expressly provided in this Section 11, License Grant and Feedback, nothing in this agreement shall be construed to mean that there is any transfer of ownership of intellectual property from a party to the other.

    12. Term and Termination

    The term of this agreement shall begin upon your submission of your Program registration form. In the event that we do not accept your application within 90 days of your submission, this agreement shall expire.

    Either you or we may terminate this agreement at any time for any reason (automatically and without recourse to the courts if permitted under the law), by giving the either party written notice of termination. We will both try to give each other at least seven day’s notice of termination. In the event either of us terminate this agreement, you acknowledge and agree that we have no obligation to give you continued access to the Program Account and that we may remove your access and delete the Program Account on the date of termination.

    In the event that you have breached the terms of this agreement, in addition to the remedies available to us under Section 6, Program Participation Requirements, we may terminate this agreement immediately upon written notice to you. We may also terminate this agreement immediately by giving you written notice if we have reason to believe that: (a) we may face potential claims or liability in connection with your participation in the Program; (b) our brand or reputation may be tarnished by you, whether through association with you via this Program or otherwise; (c) you have engaged in fraud, misrepresentation or any illegal activity; (d) we are or may become subject to tax collection requirements in connection with this agreement or the activities performed by either party under this agreement; or (e) you are acting in concert with others whom we have terminated or suspended from the Program for their breach of the Program terms. We may also terminate this agreement if we terminate this Program for the country in which you reside or in which your organization is registered to do business.

    We will pay you commissions that have accrued from qualifying purchases that were completed before the termination of this agreement. We will pay any accrued and unpaid commissions on qualifying purchases to you after a reasonable time has lapsed following the termination of this agreement to ensure that the correct amount is paid to you to account for cancellations, returns and to ensure payments are made in accordance with the Program terms. You acknowledge and agree that we have the final and exclusive right to decide if a sale was generated in compliance with the Program requirements from your platforms.

    In addition to those provisions of this agreement that shall survive by their express terms, the following Sections of this agreement shall survive the expiration or termination of this agreement: Section 5, Invoicing and Taxes; Section 7, Identifying Yourself as an Affiliate and an Independent Contractor (but excluding the provision requiring you to identify yourself as an Affiliate on your platform); Section 10, Warranties; Section 13, Limitation of Liability; Section 15, Governing Law and Waiver of Jury Trial, Section 16, Data Protection and Section 17, Miscellaneous and as specified in the Program Policies. Termination or expiration of this agreement shall not relieve either party from any liability that accrued under this agreement prior to such termination or expiration.

    13. Limitation of Liability

    The Christian Diet shall not be liable for any unauthorized access to, or any corruption, erasure, theft, destruction, alteration, or inadvertent disclosure of data, information or content transmitted, received, or stored on the Program Account. With respect to passwords, account identifiers and other systems used to control access to your Program Account, it is your responsibility to safeguard such passwords, account identifiers, and other systems used to control access to your account.




    14. Indemnification

    To the maximum extent permitted by law, we disclaim any and all liability for any matter directly or indirectly relating to the creation, maintenance or operation of your platforms, your use of any Program Items or your breach of this agreement (including any Program Policy). You shall defend, indemnify and hold harmless The Christian Diet, our affiliates and licensors, and their respective officers, directors, shareholders, parents, subsidiaries, agents, representatives, advisors, successors and assigns from and against all claims, damages, losses, liabilities, costs and expenses (including the fees and expenses of all legal service providers) arising out of or relating to: (a) any portion of your platforms; (b) your advertising, marketing and promotion activities; (c) your use of any Program Items; (d) your breach of this agreement (including any Program Policies); and (e) your or your employees’ or contractors’ fraud, negligence or willful misconduct. 

    15. Governing Law and Waiver of Jury Trial

    Any dispute arising out of or in connection or relating in any way to the Program or this agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the California courts in accordance with the Arbitration Rules of the state of California for the time being in force, which rules are deemed to be incorporated by reference in this clause. The Tribunal shall consist of one arbitrator and the language of the arbitration shall be English.

    The seat of the arbitration shall be California. The laws of California, without regard to the principles of conflict of laws, shall govern this agreement and any dispute of any sort that might arise between you and us.

    There is no judge or jury in arbitration and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of this agreement as a court wood.

    We each agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

    Notwithstanding anything to the contrary in this agreement, we may seek injunctive or other relief in any state, federal, provincial or national court of competent jurisdiction for any actual or alleged infringement of our or any other person or entity’s intellectual property or proprietary rights. You further acknowledge and agree that our rights in the The Christian Diet IP are of a special, unique, extraordinary character, giving them peculiar value, the loss of which cannot be readily estimated or adequately compensated for in monetary damages.

    Should your claims qualify to be heard in small claims court, you may assert your claims in small claims court instead of seeking resolution through arbitration.

    16. Data Protection

    You have read our Privacy Notice and consent to how we collect, process, transfer and safeguard your personal data as described in the notice.

    In particular, you consent to our use and processing of any personal data that was submitted as part of the application process to: (1) conduct background checks and other due diligence; (2) evaluate your suitability to be a The Christian Diet Affiliate, and (3) should your application be approved, manage your relationship with us and ensure that you live up to the promises you made under this agreement. If you are an organization, you represent that you have the right and have obtained all consent to provide to us any personal data that you included in your application.

    You may withdraw your consent to our use of your personal data at any time before we approve your application. However, please take note that by doing, you will have concurrently withdrawn your application to join the Program. If you do not provide your data for our legitimate business uses, we are under no obligation to consider your application. In addition, if we approve your application to join us as a The Christian Diet Affiliate, you may withdraw your consent to our use of your personal data only if you terminate your participation in the Program in accordance with this agreement. 

    17. Miscellaneous

    Waiver. Our failure to require you (including our delays) to comply with any provision of this agreement on any one or more occasions shall not affect our full right to require your compliance at any time in the future; nor shall the waiver by us of a breach of any provision hereof be taken or held to be a waiver of the provision itself.

    Severability. In the event that any provision of this agreement shall be unenforceable or invalid under any applicable law or be so held by applicable court decision, such unenforceability or invalidity shall not render this agreement unenforceable or invalid as a whole. We will amend or replace such provision with one that is valid and enforceable and which achieves, to the extent possible, our original objectives and intent as reflected in the original provision.

    Assignment. Except as otherwise set forth herein, your rights under this agreement are not assignable or transferable. Any attempt by your creditors to obtain an interest in your rights under this Agreement, whether by attachment, levy, garnishment or otherwise, renders this agreement voidable at our option. 

    The Christian Diet, LLC (applicable to our U.S. audience), together with our parent companies, affiliates, and subsidiaries (collectively, “The Christian Diet”, “us”, “we” or “our”) know that you care about how your information is collected, used and shared, and we appreciate the trust you place in us that we will do so carefully and sensibly. We provide you with this Privacy Policy because we want you to know how we may collect, use, share and keep information about you, and the choices and privacy rights that are available to you.

    This Privacy Policy applies to any person or entity providing personal information to us, including customers, Preferred Customers who are members of the Preferred Customer Club and receive exclusive benefits such as product discounts; and The Christian Diet Disciples Coaches (each, a “Coach”) who are members of the The Christian Diet Disciples community and help others succeed with their health and wellness goals by selling The Christian Diet products and services.
    What Information Is Collected About You Through The Christian Diet Services?
    The information we receive from and collect about you helps us provide the The Christian Diet Services, and personalize and continually improve your experience using the The Christian Diet Services and our business. Here are the general types of personal information we (and certain third parties) may gather:

    Food and nutritional information (e.g., types of food and beverages consumed, nutritional supplement and water intake, and any related caloric, fat, fiber, cholesterol and other information);
    Metabolic information (e.g., heart rate, and caloric and fat burn through exercise, and other related information);
    Fitness and activity information (e.g., the types and number of workouts you may be using, workout and activity tracking, hours exercised, etc.).
    Photos, general feedback and content: content you post on our message boards, photos you upload into the The Christian Diet Services, or information you submit about our products, goods or services;
    If you sign up as a The Christian Diet Disciples Coach, we may also collect (i) your social security/social insurance or other similar identification number and payment information such as bank account information in order to remit and report any commission payments you may have earned, and to record payment history, (ii) information relating to your Coach online presence such as URL, the number of unique users, page views, social media handle and public activity, (iii) information relating to your sales and points, volume and commissions earned as a Coach, (iv) information relating to your team’s (your upline and downline Coaches) performance, such as their sales, and points, volume and commissions earned as Coaches, and (v) business-related email correspondence with us;
    If you apply to join our Affiliate Program, we may also collect information about your business, such as your organization's name, email address, street address, telephone number, payment information, tax identification number, and information about your website (e.g., the URL, the number of unique users and page views, the demographics of your user base, etc.);
    If you enable Apple’s Healthkit Application when using The Christian Diet Services, The Christian Diet may send and receive fitness and wellness data to and from Apple’s Healthkit Application to help track your workout activity and enhance your overall experience using The Christian Diet Services. The Christian Diet will not use or share health data collected through Apple HealthKit for marketing purposes. For example, we may collect and display fitness data, such as heart rate, and use it to estimate your calorie burn while performing exercises with The Christian Diet programs.
    Information We Automatically Receive:
    Sources of Information We Automatically Receive: We automatically receive and store certain technical information about your device and systems you use to connect with and interact with us and the The Christian Diet Services (“Usage Information”). For information on cookies and other tracking by us and others, please refer to our “Cookies” section below. We may use software tools such as JavaScript to collect information about visits to our website. We may also automatically collect information about you through our mobile apps.
    Examples of Usage Information We Automatically Receive When You Use The The Christian Diet Services: This includes without limitation:
    Device identifiers: your Internet protocol (IP) address (the number used to identify your computer or modem to the Internet, which can potentially identify your location and Internet Service Provider), and cookie identifiers;

The text in a cookie is a string of numbers and letters that uniquely identifies your device and can contain other information as well. We use cookies on our websites and The Christian Diet Services to recognize your device, store your preferences and settings, enable you to sign-in, provide internet-based advertising, combat fraud, analyze our products, and perform and fulfill other legitimate purposes.
    Pixel Tags: Certain The Christian Diet Services and websites contain electronic images known as pixel tags (also called web beacons or gifs) that we use to help deliver and recognize cookies on our websites, count users who have visited those websites, and gather usage and performance data. We also include pixels in our emails to tell if you open and act on them.
    Embedded Scripts: An embedded script is programming code that is designed to collect information about your interactions with the The Christian Diet Services, such as the links you click on. The code is temporarily downloaded onto your device from our web server or a third-party service provider, is active only while you are connected to the The Christian Diet Services, and is deactivated or deleted thereafter.
    Mobile device IDs: The Christian Diet mobile apps may use device IDs to help conduct analytics and deliver ads. Android-based and other mobile devices may generate a mobile advertising identifier that can be accessed by apps and used by advertisers in much the same way that cookies are used on websites.
    Third Party Advertising and Analytics Providers and Similar Third Parties: The The Christian Diet Services include pixel tags and cookies and mobiles IDs from third parties (such as analytics companies, network advertisers, ad agencies, and others) who provide us with information about the The Christian Diet Services, users, and our advertisements, and who serve our advertisements on the The Christian Diet Services and elsewhere online.     We value the trust our customers place in us to safeguard their personal information. We share personal information we collect as described below:
    Third-Party Service Providers: We disclose any of the categories of personal information described in this policy to third party companies and individuals for business purposes performed on our behalf to better serve you. For example, we use third parties to help us make our products and services available to you, fulfill orders you may have placed, process credit card payments, provide customer service, ship postal mail, deliver your packages, conduct market research or information analysis, manage promotions, and contact you in connection with various The Christian Diet Services. In these instances, we may need to provide your information to these third parties for such purposes.
    Customers, Preferred Customers and the The Christian Diet Disciples Community: To maximize the benefits of our products and services, we assign an independent The Christian Diet Disciples Coach to all customers and Preferred Customers who purchase a product through The Christian Diet/The Christian Diet Disciples or who consent to be contacted by a Coach. Your assigned Coach is available to assist you in understanding and using the products you ordered, and help give you the motivation you need to help you achieve your fitness goals. To help you both get in contact and for other business purposes, we may disclose to your assigned Coach certain information you provided during your purchase process, such as your contact information (your name, address, phone number, email address) and transaction history and order information. Your Coach may contact you to offer support, and provide general information and marketing materials. Please note that The Christian Diet will never provide your assigned Coach your credit or debit card information or, if you provided it, your Social Security number/Social Insurance number. Customers and Preferred Customers may opt-out of further sharing their information with Coaches by visiting their Preference Center which is accessible through links at the bottom of e-mails you receive from The Christian Diet.
    Coaches and the The Christian Diet Disciples Community: Individuals who join the The Christian Diet Disciples community as a Coach are joining a business to help others succeed with their health and wellness goals. As part of that mission, Coaches will have access to certain information of certain other Coaches to help them engage and collaborate with other Coaches, and grow their business. This includes information such as name, address, phone number, e-mail address, transaction history and order information, and Coach-related sales, performance, volume and team information (upline and downline). Coaches may opt-out of further sharing information with their upline Coaches by visiting their Preference Center which is accessible through links at the bottom of e-mails you receive from The Christian Diet.
    Customers, Preferred Customers, Coaches and the The Christian Diet Groups Community: To assist individuals through their health and wellness journey, many of our Coaches run engaging groups through our community-based platform known as The Christian Diet Groups, which help their participants stay motivated, accountable and supported to achieve lasting results. If you join a The Christian Diet Group, then the Coach(es) running the group will have access to certain information you provide through The Christian Diet Groups, such as your name, email, goal, and workouts and supplement intake. If you enabled sharing, then you can also share your activity, progress photos and body measurements with your Coach. If you post a message or picture within the group, then other participants in the group can also see your post. You are always free to stop sharing certain information through the Privacy tab within your group.
    Affiliates and Subsidiaries; The Christian Diet Partners; Third Party Offers: The Christian Diet may share your personal information with its affiliates, subsidiaries and parent companies. The Christian Diet occasionally partners with third parties to learn more about our customers so we can service you better or offer products or services that we feel may be useful to you ("The Christian Diet Partners"). In such case, we may disclose to a The Christian Diet Partner certain information, such as your contact information (name, email address, phone number, billing or shipping address) and purchase history. If you request information from a The Christian Diet Partner, we may disclose additional information such as your email address, phone number and other contact information, so the The Christian Diet Partner can provide you with the information you requested. If you purchased a product or service from a The Christian Diet Partner, we will also disclose your payment information, such as credit card information so they can complete your purchase. We may disclose aggregated, de-identified information to The Christian Diet Partners: (i) so the The Christian Diet Partners can provide you with advertisements tailored to your interests; (ii) for statistical analysis, research, and demographic profiling purposes; and (iii) to support our business and improve our mission to help our customers achieve their health and wellness goals.
    Protection of The Christian Diet and Others: We may share your information, including personally identifiable information, in order to: (i) protect or defend the legal rights or property of The Christian Diet, or the legal rights of our customers, Coaches, business partners, employees, agents, and contractors; (ii) protect the safety and security of our customers, Coaches or members of the public, including acting in urgent circumstances; (iii) detect and protect against fraud and identity theft or to conduct risk management; (iv) comply with laws, legal process, or legal requests from any governmental or regulatory body; or (v) to enforce or apply our website Terms and Conditions and/or other agreements.
    De-identified Data Disclosures: We may also disclose non-identifying transaction information to third parties for accounting, record keeping and other purposes. We may also disclose aggregated, de-identified user data or non-personal information with business partners, advertisers, and others.
    What About Third-Party and Advertisers’ Services?
    At various points and pages on our websites or mobile applications, you may be able to access or utilize services offered by or in conjunction with third parties. This includes services in connection with third-party "social media" and other sites that would allow personal information to be transferred to such third parties (for example, Facebook Connect), Coaches, and others. In addition, certain purchases that you make through the The Christian Diet Services may be completed by or through our authorized reseller (“Reseller”), such as Apple or Google. You will be required to provide your personal information to the Reseller who will charge your payment card or other payment method for any The Christian Diet products or services you wish to purchase. When this happens, we will notify you of the name of the Reseller or it will be apparent, and you will see their terms and conditions and privacy policy for your review.
    These third parties have separate data collection and privacy practices independent from ours, so please review their privacy policies to understand your rights. For this reason, The Christian Diet cannot be responsible for their policies or activities. Please contact those third parties directly if you have questions about their privacy practices.
    How Secure is Information About Me?
    The Christian Diet has implemented and uses reasonable security measures designed to help prevent the loss and unauthorized access of your information. Despite these efforts, no security measures are perfect or impenetrable, and no method of data transmission can be guaranteed against interception or to be absolutely secure. As a result, while we strive to protect your personal information, we cannot ensure or warrant the security of any information you transmit to us or our online services. You can help protect your personal information by not reusing any passwords you use in connection with your The Christian Diet accounts. If you suspect a website or mobile application is pretending to be that of The Christian Diet’s (also known as “spoofing”), do not enter any personal information, but please let us know by emailing [email protected] Personal information may be accessed by persons within our organization, or our third party service providers, who require such access to carry out the purposes indicated above, or such other purposes as may be permitted or required by the applicable law.     What Happens to My Information if The Christian Diet is Sold to or Merges With Another Company?
    As we continue to develop and grow our business or in the unlikely event of a bankruptcy, we might sell one or more of our assets, subsidiaries or business units. In such transactions, customer information is typically one of the transferred business assets. Customer information may also be disclosed in connection with due diligence or in preparation of a potential sale or investment.
    What if a Coach Who Has my Information Sells or Transfers Her Coach Business to Another Coach?
    The Christian Diet Disciples Coaches have the ability to sell or transfer their Coach business to another Coach. In such case, certain information pertaining to their customers and other Coaches in their organization, such as name, phone number, e-mail address and transaction history, may be transferred to the Coach purchasing the business. Customers always have the ability to opt-out of sharing information with their assigned Coach as described above.
    Users Based Outside of the USA; Transfer of Personal Information
    Like most websites and businesses, The Christian Diet’s websites may be accessed by an international audience.     How Can I Access or Update My Information?
    We want to be sure your personal information is kept accurate and complete, and for this reason we ask that you inform us in the event of any changes to your information. If you provided your information directly to The Christian Diet, you may easily access or update certain personal information by visiting the “Help” or “My Account” sections within your The Christian Diet Disciples or The Christian Diet account, or e-mailing our Customer Service at [email protected] When e-mailing Customer Service, please have your order information available. We will use commercially reasonable efforts to respond to your request to access or update your information. Please note that certain access may be subject to a fee.
    If you purchased any The Christian Diet Services through a Reseller and provided your information directly to the Reseller, please contact the Reseller to update and manage your personal information.
    Your Privacy Choices: Opt-Out
    Marketing: We offer you various ways to opt-out of receiving certain communications from us. If you would like to opt-out of receiving email marketing communications from us or your assigned The Christian Diet Disciples Coach, you may click the “Unsubscribe” link found at the bottom of The Christian Diet marketing emails that we send and follow the easy instructions to opt-out, or you may click the “Preferences” links to update your email settings. If you would like to opt-out of receiving marketing phone calls, you can inform the agent with whom you speak that you would like to be placed on The Christian Diet’s “Do Not Call” list. If you would like to opt-out of any The Christian Diet text message campaign, please follow the instructions provided when you opt-in to the campaign; typically, responding “STOP” to your specific short code will opt you out of the campaign for which you signed up.
    Online Advertising: As mentioned above, you may opt-out of cookie-based online targeted advertising by navigating to the bottom of a The Christian Diet website, clicking the “Do Not Sell My Info” hyperlink, turning on the toggle switch and clicking “Save.” Please note, if you use different computers or browsers, you may need to indicate your opt-out choices again on those computers and browsers.
    The Christian Diet Groups: As mentioned above, you are always free to stop sharing certain information you provide through The Christian Diet Groups by visiting the Privacy tab within the group.
    Changes to This Privacy Policy
    The Christian Diet may modify this Privacy Policy at any time effective upon its posting on our websites. Your continued business relationship with us, or use of any of our The Christian Diet Services after the changes are posted constitutes your acceptance of any changes, both with regard to information we have previously collected from you and information we may collect from you in the future.
